1. The service
The Amicis Commerce Agent is an AI assistant for fleet operators managing Microsoft Dynamics 365 Commerce, Finance, and Supply Chain Management retail environments. It is available in two forms:
- A Windows desktop agent that runs on POS and back-office machines and assists store associates and operators with voice and text.
- A Microsoft 365 Copilot extension that exposes the same fleet-management capabilities to Microsoft 365 Copilot inside your tenant.
These Terms ("Terms") govern your use of both forms of the service. By using the service you agree to these Terms.
2. License requirements (BYOL)
To use the Amicis Commerce Agent with Microsoft 365 Copilot, you must have an active Microsoft 365 Copilot license, along with a valid Amicis license.
Microsoft 365 Copilot is sold and licensed by Microsoft directly. Amicis does not resell, bundle, or substitute Microsoft licensing. Your obligations to Microsoft are governed by your agreements with Microsoft.
3. Acceptable use
The Amicis Commerce Agent is provided for fleet management, onboarding, operations, and support workflows against Microsoft Dynamics 365 Commerce and related Microsoft business applications. You agree not to:
- Use the agent to process customer payment-card data or handle financial transactions.
- Use the agent to bypass approval, tender, refund, void, or discount steps that are reserved for a human at the point of sale.
- Reverse-engineer, decompile, or attempt to extract source code or model weights from the service.
- Use the service in violation of applicable law or third-party rights.
- Use the service to access tenants, organizations, or data you are not authorized to access.
4. Data handling
Our handling of data you provide to, or that is generated by, the service is described in the Privacy Notice. By using the service you acknowledge that data flows as described there, including tenant-scoped storage in Azure SQL and support-issue handling via your organization's configured issue-tracking system.
5. Availability and changes to the service
The service is provided as-is and as-available. The cloud components (Agent Hub and Cloud Hub) are hosted on Azure Container Apps; the Microsoft Azure Container Apps service-level commitments apply to that underlying infrastructure. Amicis does not guarantee uninterrupted operation, and may add, change, or remove features at any time.
6. Limitation of liability
To the maximum extent permitted by applicable law, Amicis Solutions Inc. and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the service — even if advised of the possibility of such damages.
Amicis's aggregate liability for any claim relating to the service is limited to the fees you paid to Amicis for the service in the twelve (12) months preceding the event giving rise to the claim, or, if no fees were paid, US $100.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
7. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above and, where appropriate, communicated to tenant administrators. Your continued use of the service after an update constitutes acceptance of the updated Terms.
